4. Quotations, Proposals and Scope of Work
All quotations, proposals, timelines, packages, and estimates are valid only for the stated period. Work
outside approved scope may require revised pricing, timelines, or a separate agreement.

5. Client Responsibilities
You agree to provide accurate information, timely approvals, required access credentials, assets, and
feedback necessary for project completion. Delays in client responses may affect timelines.

6. Payments and Invoices
Unless otherwise agreed in writing:

• Deposits may be required before work begins.
• Invoices are payable on stated due dates.
• Late payments may pause active work.
• Final files, launches, handovers, or transfers may be withheld until outstanding balances are
  settled.
• Collection costs or legal recovery fees may be charged where lawful.

7. Revisions and Change Requests
Reasonable revisions may be included where stated in a proposal. Additional revisions, rework after
approval, or scope changes may incur extra fee.

8. Intellectual Property
All pre-existing Bezaleel systems, methods, templates, know-how, drafts, and internal processes remain
our property.
Ownership of final approved deliverables transfers only once full payment has cleared, unless otherwise
agreed in writing.
Client-supplied logos, trademarks, content, and materials remain the client’s property.

9. Portfolio Rights
Unless otherwise agreed in writing, we may display completed public-facing work in our portfolio,
proposals, social media, or case studies.

10. Marketing and Performance Disclaimer
We do not guarantee specific sales, rankings, follower growth, engagement metrics, lead volume,
advertising approvals, media placements, or business outcomes. Results depend on multiple factors
outside our control.

11. Third-Party Platforms and Providers
Projects may rely on third-party services including hosting providers, domain registrars, Meta platforms,
Google services, payment gateways, printing vendors, software tools, and freelancers. Their own terms,
fees, outages, delays, or policy decisions may apply.

12. Acceptable Use
You may not use our website or services for unlawful, abusive, defamatory, infringing, fraudulent,
malicious, or harmful activities.

13. Suspension or Termination
We may suspend or terminate services for non-payment, abuse, unlawful conduct, refusal to cooperate,
reputational risk, security concerns, or material breach of agreement.

14. Confidentiality
Both parties should treat non-public commercial information shared during a project as confidential,
except where disclosure is required by law. 

15. Limitation of Liability
To the maximum extent permitted by law, Bezaleel Media Agency shall not be liable for indirect,
incidental, special, lost-profit, consequential, reputational, or data-loss damages arising from use of our
website or services.
Our total aggregate liability for any claim shall not exceed the amount actually paid to us for the specific
service giving rise to the claim.

16. Indemnity
You agree to indemnify and hold Bezaleel Media Agency harmless from claims arising from materials
you supplied, misuse of services, legal breaches, or infringement caused by client-provided content.

17. Governing Law and Disputes
These Terms are governed by the laws of the Republic of South Africa. Parties should first attempt goodfaith negotiation before litigation or formal proceedings.

18. Changes to Terms
We may amend these Terms from time to time. Updated versions become effective once published.
